TERMS OF SERVICE FOR CHANNELS
Channels is a cloud-based platform that helps businesses to have more meaningful conversations with their customers. We encourage you to use Channels for building a helpline, inbound and outbound calling. In these Terms of Service “we,” “us,” “our”, “Channels” or “CC Inc.” will refer to CrazyCall Inc., with its registered seat at 382 NE 191st St
PMB 66713 Miami, Florida 33179-3899 US, and “you,” “your” and “Customer” will refer to you or the business entity or organization if you act on behalf of such entity or organization. You and any persons that you authorize to use Channels Customer’s account may be referred to in these Terms as the “User.”
Please read carefully these Terms of Service („Terms“) before accessing or using Channels as they contain the legal terms and conditions of using Channels and create a legal commitment between you and the CC Inc. If you do not accept the Terms, please do not use Channels. If you intend to use Channels in a business entity, you represent that you have authority to act on behalf of your organization and to bind your organization to these Terms.
We reserve the right to change these Terms at any time. If we do change the Terms, we will post a note on our website or email you. You agree that your use of Channels after the date when the updated Terms come into effect establishes an agreement based on the amended Terms. If you do not agree to any modified Terms, you may no longer use Channels.
Upon start of using Channels, you will be asked to provide a password to access your account.
You acknowledge that logins used in Channels are individual logins. For security reasons we advise that all of your agents have individual logins and passwords that should not be transferred or disclosed to other agents or to any third persons.
You are responsible for maintaining adequate security and control of logins, passwords, or any other codes that you use to access the Channel. You are responsible for keeping your mailing address and other registration data up to date in your profile. You are solely responsible for all use (whether or not authorized) of Channels under your account, including for the quality and integrity of your customer data processed via Channels.
You agree that CC Inc. will not be liable for any loss, cost, damages or expenses resulting from any faults in maintaining the security of your password by you.
By using Channels, you represent that you are in compliance with all applicable laws while using Channels.
Upon your registration and after you accept of these Terms, CC Inc. hereby grants you the personal, non-transferable right and license to use Channels, solely for your business purposes.
FAIR USE POLICY
You may use Channels only in accordance with these Terms and only for lawful purposes. Users are responsible for any violations of applicable laws and the provisions of these Terms when using Channels. It is prohibited for the users to provide in any way illegal content.
You will not use Channels for any purpose that is unlawful, abusive, deceptive, fraudulent, harassing, libelous, defamatory, threatening or hateful, or in any other way that would violate any applicable law.
You are aware that utilizing Channels in excess of what, in CC Inc.‘s reasonable discretion, would be expected of normal business use is prohibited. A duration of a single connection is limited and such connection may be terminated in case of probable fraudulent activity.
If at any time you breach these Terms, CC Inc. may elect to suspend, terminate, and/or cancel your Channels account without any compensation.
In order to use Channels, you should have:
– broadband Internet connection,
– updated Web browser
– up to date computer hardware
You agree and accept that the quality of telephone conversations via Channels may vary due to the speed of your Internet connection. CC Inc. is not responsible for low quality of conversations caused by inefficiency of your Internet connection or your software or equipment faults.
Using Channels is subject to pricing available at “Pricing”. Channels offers You a possibility to use telephone connections via one of our partners – telecommunications service provider (“Provider”). Rates for telephone connections charged by CC Inc. depend on the current price list of the Provider. You can check current rates for connections and list of countries available after You log in to Channels. CC Inc. reserves the right to change rates for telephone connections and list of countries available in respective plans from time to time without prior notice.
You may choose our subscription plans (monthly or annual) that may give you extra discounts. You will find information on all actual plans and promotions in our “Pricing” section. We strongly recommend You to upgrade your plan and purchase No-Limit addon that allows You to call to selected destinations without limitations!
You authorize us to charge each payment to the credit card you use to make your payments.You agree to maintain in your Account at least one valid credit card that expires no earlier than 20 days after your last payment due date.
If we are not able to charge any payment to a card on file in your Account, our remedies will include the right to block your ability to access Channels.
Our pricing policy may include free trial period. Remember that these Terms also apply to charge free period.
ACCOUNT CANCELLATION AND REFUND POLICY
Regardless of the billing cycle, Channels provides no refunds, no right of set-off, or credits for unused time of the Services, or plan downgrades if you decide to close, downgrade, or suspend your account before the end of your subscription period.
The Customer is responsible for canceling his subscription and he may do it at any time directly in the panel. A canceled subscription expires at the end of the current billing cycle. Once a subscription expires you may still renew it, but we systematically remove not renewed accounts
If you cancel the account before the end of the subscription period for which a payment has been made, Channels is not obligated to refund the amount for the unused period.
Unless otherwise indicated, all of the content featured or displayed in Channels, including, but not limited to, text, graphics, data, photographic images, moving images, sound, illustrations, software, and the selection and arrangement thereof is owned by Channels, its licensors, or its third-party image partners. Copyright and other laws relating to the protection of intellectual property protect all elements of Channels software.
All trademarks and logos used in Channels are the property of CC Inc. or third parties, and you may not use such trademarks or logos without the prior written consent of CC Inc. or the applicable third party.
LIMITATION OF LIABILITY
Channels operates as a software as a service (SaaS) platform designed to help businesses to have more meaningful conversations with their customers. Channels is provided on “as is”, “as available” and “with all faults” basis and hereby CC Inc. excludes, to the fullest extent permitted by applicable law, any warranty, express or implied, in particular we do not guarantee any increase of performance of your business.
The functions of Channels are not warranted to be uninterrupted or without error.
CC Inc. does not guarantee compatibility of Channels with other producers’ software. User shall bear responsibility for the choice and consequences following from the use of other software including its applicability to user’s objectives.
CC Inc. will not be liable for any damages of any kind arising from the use of Channels and makes no representations or warranties of any kind concerning the work, express, implied, statutory or otherwise, including, without limitation, warranties of title, merchantability, fitness for a particular purpose, noninfringement, or the absence of latent or other defects, accuracy, or the presence of absence of errors, whether or not discoverable.
CC Inc. expressly disclaims any liability for any errors or omissions in Channels, including, without limitation, the inaccuracy or incompleteness of any such tool, including but not limited to IVR, inbound and outbound calls and mobile app, or other information, tools or analyses available through Channels services, and for the usefulness of Channels for any objective of any person.
You hereby agree to indemnify and hold CC Inc. and its subsidiaries, employees, affiliates, officers, agents, partners and licensors harmless from and against any and all third party demands, claims, liability, loss, and expense including damage awards, settlement amounts, and reasonable legal fees brought against CC Inc. or any of the above mentioned person(s), arising out of, related to or which may arise from your access to or use of Channels, your breach or alleged breach of these Terms, license or your violation of any third-party rights including without limitation, any intellectual property right, publicity, confidentiality, property or privacy right, your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; or any misrepresentation made by you.
If any clause or provision in these Terms will become unenforceable, wherever possible this will not affect any other clause and each will remain in full force and effect. All disputes arising in connection with these Terms shall be primarily resolved amicably. You agree that all disputes you have with CC Inc. in connection with Terms that cannot be amicably resolved shall be governed by the law of Florida and submitted for resolution by Court of Law at the location of CC Inc.’s registered office.
